01Operator and agreement
Locale is operated by Joe Mather ("Locale", "we", "us") at Locale, 2205 W 136th Ave, Ste 106 PMB 10071, Broomfield, CO 80023-9306, United States. On acceptance, these terms govern the website, accounts and Agent. You must have authority to bind any organization you represent. The Acceptable use policy is incorporated; the Privacy notice explains data handling. These terms do not retroactively replace earlier agreements.
02Eligibility and account security
You must be 18 or older and able to contract. Creating an account or renewing cloud use requires explicit agreement and adult attestation. Keep account details accurate and credentials secure; authorize trusted people and devices only. Report compromise to accounts@uselocale.dev. Do not share accounts to evade limits. Responsibility for authorized activity does not excuse Locale's legal duties.
03Services and availability
Your account and the offer before purchase identify enabled services, prices and limits. Beta features may change. Roadmaps and pending checkout do not promise unavailable features. Site publishing and hosted workers require express enablement. Device files and local models require compatible hardware and an authorized, running Agent. Keep backups. Models and performance may change; response speed and uninterrupted availability are not guaranteed.
04Subscriptions and cancellation
Subscriptions renew monthly at the disclosed price until canceled. Stripe processes payment. Applicable taxes and the total are shown before payment. Cancel renewal through Account or contact support if the control fails. Cancellation preserves the paid period and its remaining monthly allowance until expiry. Upgrades require approval of a prorated charge before additional entitlement is granted; downgrades apply at renewal. We will give advance notice of price changes and renewal notices where required, and obtain any consent required by law. No test or sandbox transaction creates a live paid entitlement.
05Inference balances and estimates
100 inference credits represent $1 of published model usage, not $1 of cash or a fixed number of tokens. Credits are a service allowance, cannot be withdrawn, and do not earn interest. Transfers are limited to the team-pool contributions described below. Monthly credits expire at the end of their period without customer rollover; unused eligible paid allowances may enter Locale's internal operating reserve. Purchased credits do not expire. Promotional credits follow their stated expiry and conditions and have no cash refund value. Request estimates are approximate; reservations, final metering, consultation and group-agent requests affect the amount consumed. Provider prices can change prospectively. Paid Premium direct-provider models require an active verified paid plan; their displayed usage prices include the configured service markup, 15% by default, on published provider rates. Complimentary OpenAI routes have their own consent and daily quota requirements. Connected providers bill under their own arrangements. Usage remains subject to balance, rate, concurrency, security and operating limits; buying or receiving credits does not bypass them.
06Teams and pooled usage
A team owner needs an active paid plan. Invited members use their own accounts; a team invitation does not open account registration. Sharing a chat or project makes its shared content available to the team's current members, who may send that content to the providers they choose. The owner may authorize a monthly amount from their own inference balance for team use. Members may contribute purchased inference or buy an existing credit pack for the pool. Only verified live payment adds credits. If membership ends before a team purchase is verified, that purchase remains in the purchaser's personal balance. Contributions retain the original purchase and refund association. Unspent, unreserved contributions can return on request, leaving or team deletion; amounts held for pending usage return after settlement or cancellation. Spent usage cannot be taken back as a contribution. Support refunds follow the original purchase and the refund rules below. Shared Locale Inference uses the pool within its limits, with no fallback to a member's personal balance and no sponsored savings. Team membership does not extend Boat, personal storage or saved-history entitlements. Ownership transfer requires confirmation from both people, a qualifying new owner and enough storage. It transfers responsibility for shared content, leaves subscriptions and past charges with their original account, and resets owner sharing to None.
07Sponsored Inference
The sponsored Inference offer is $3 per month with $3 of published-model usage each paid month. Native Locale ads are included on supported chat surfaces; higher tiers can opt in to sponsored savings. Qualifying native ads reduce eligible input and output charges allocated to verified paid monthly balances by 10%, after applicable model promotions. Purchased, free and promotional balances are excluded. Monthly balances keep their original expiry, with no cash reward or rollover. Qualification requires at least 50% visibility for one continuous foreground second; no click or purchase is required. Limits are ten native placements per account per UTC day, five per advertiser, and at least sixty seconds between placements. Without a qualifying ad, normal rates apply and the included allowance remains usable. Agent-only, background and remote/LAN usage has no qualifying native placement. Consent, Do Not Track and Global Privacy Control remain respected. Existing subscribers retain their purchased conditions unless they explicitly accept a new offer at renewal; changing to the sponsored offer does not prorate the current period. Saved account history is rolling out; this offer does not include file storage, sync, sites or workers.
08Purchased inference and crypto payments
Verified purchased credits can fund eligible inference without a subscription. Packs do not include storage or other subscription services. When enabled, Stripe offers supported crypto payments and handles wallet connection, network choices and recurring authorization. A redirect or wallet authorization is not proof of payment. Credits and plan allowances activate only after verified payment. Crypto refunds follow Stripe's supported return path; Locale does not collect replacement wallet addresses.
09Refunds and payment problems
Request a refund of unused value through accounts@uselocale.dev. Support reviews the payment, usage and applicable law. An approved plan refund ends the refunded plan period and removes its unused credits; a credit-purchase refund removes the corresponding credits. Consumed services are not unused value. Fraud, failed payments, disputes or billing errors may result in a proportionate hold while reviewed. We will explain material adjustments. Mandatory cancellation, refund, withdrawal and consumer rights take priority over these policies.
10Content, output and permissions
You retain your rights in inputs and files. You grant Locale a limited permission to transmit, process and, when you enable storage, host them to provide, secure and support the service and follow lawful instructions. We do not claim ownership of your content or use it to train our own models. As between you and Locale, you may use output to the extent permitted by applicable law and the selected provider's terms; output may be nonunique, inaccurate or subject to third-party rights. You must hold the rights and permissions needed for your inputs, connected accounts and requested actions. Review generated code, commands and outputs before use. Model output is not a substitute for qualified professional advice or a safety-critical system.
11Third-party services and software
DigitalOcean supplies hosting; Vercel AI Gateway and any enabled gateway route inference to model providers; Stripe supplies payments; other providers supply the services described in our Privacy notice. Providers and services you connect may impose their own terms, licenses, availability rules and charges. Use them only with valid authorization and comply with applicable restrictions. Locale's terms do not amend those separate agreements or remove our responsibilities to you. Open-source components remain subject to their licenses in Attributions. Kickbacks.ai is an optional separate service; rewards are governed by its terms and are not guaranteed by Locale.
12Suspension and ending service
We may restrict access for unlawful activity, material payment failure, a security incident or serious harm, with notice and an opportunity for review when practicable and lawful. Use Account to export data or delete your account, or contact accounts@uselocale.dev. Export before deletion. Deletion cancels renewal and makes unused balances inaccessible; it does not itself issue a refund. Request any eligible refund first. Unsettled requests, hosted resources or administrator ownership can require support reconciliation before closure. A downgrade blocks excess writes without deleting stored history. Closure and lawful retention follow the Privacy notice. Mandatory refunds and remedies remain available.
13Warranties and liability
To the extent permitted by law, services are provided as available without implied warranties of merchantability, fitness for a particular purpose or noninfringement. To that same extent, Locale is not liable for indirect, consequential, special or punitive loss, including lost profit, and total liability arising from the service is limited to the greater of $100 or the amount you paid Locale in the 12 months before the event giving rise to the claim. These limits do not apply to fraud, intentional misconduct, gross negligence, liability that cannot lawfully be limited, or mandatory consumer rights and remedies. We do not exclude responsibility merely because a service provider was involved.
14Colorado law and dispute resolution
Colorado law governs this agreement, excluding conflict-of-law rules, except where mandatory law gives you additional protections. Disputes may be brought in the state courts serving the City and County of Broomfield, Colorado, or, where federal jurisdiction exists, the United States District Court for the District of Colorado. This does not restrict a consumer's nonwaivable right to bring a claim in another competent court. No mandatory arbitration or class-action waiver is imposed. You may contact accounts@uselocale.dev to seek an informal resolution, without giving up a filing deadline or right to urgent relief.
15Changes and contact
Updated terms carry an effective date, required advance notice and renewed acceptance where required. Changes do not retroactively alter completed purchases or accrued rights. Invalid provisions leave the lawful remainder intact. Accepted order terms control conflicting commercial details.
